1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Flokou LLC ("Flokou," "we," "us," or "our") governing your access to and use of the website flokou.com (the "Site") and any related applications, products, and services (collectively, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must stop using the Services immediately.

2. Eligibility

• Distribute viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to our systems, other accounts, or networks.
• Scrape, data-mine, or use automated means to access the Services without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Services.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Use the Services in a manner that could discriminate against, harass, or harm any individual.

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, software, and source code — are the exclusive property of Flokou LLC or its licensors and are protected by copyright, trademark, and other intellectual-property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content without our prior written permission.

6. User Content

You may submit content (text, images, feedback, etc.) through the Services ("User Content"). By submitting User Content, you grant Flokou a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and display your User Content in connection with operating and improving the Services.

You represent that you own or have the necessary rights to your User Content and that it does not infringe upon or violate any third-party rights.

7. Third-Party Services & Integrations

The Services may integrate with or contain links to third-party platforms, including but not limited to Meta (Facebook / Instagram), Google, and payment providers. Your use of any third-party service is governed by that provider's own terms and privacy policy. We are not responsible for the practices or content of third-party services.

When you authenticate via a third-party platform (e.g., Facebook Login), you authorize us to access certain account information in accordance with that platform's policies and our Privacy Policy.

8. Payment & Fees

Certain Services may require payment. All fees are stated in U.S. dollars unless otherwise indicated. By purchasing a paid Service, you agree to pay all applicable fees and authorize us (or our payment processor) to charge the payment method you provide. All payments are non-refundable except as expressly stated in a separate agreement or required by law.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. You may also terminate your account by contacting us at support@flokou.com.

Upon termination, your right to use the Services will cease immediately. Provisions of these Terms that by their nature should survive termination (including, without limitation, Sections 5, 6, 10, 11, and 12) will remain in effect.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOKOU LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Flokou LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through the Services. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flokou LLC regarding the Services and supersede all prior agreements and understandings.
